Introduction

Welcome to VeriPay. These Terms of Service (“Terms”) govern your use of the VeriPay website, services, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Service Description

VeriPay provides a payment service for second-hand marketplace transactions. Our platform acts as a trusted third party that:

  1. Holds the buyer’s payment securely until both parties confirm the transaction is complete
  2. Verifies the buyer has funds before the seller ships the item
  3. Verifies and tracks that the seller has shipped the item (using services such as Australia Post)
  4. Offers fair dispute resolution if issues arise
  5. Releases funds promptly once all conditions are met

By using the Service, you consent to VeriPay sharing necessary information (such as shipping addresses) with third-party tracking providers like Australia Post to facilitate package tracking.

Regulatory Compliance

VeriPay operates as a low-value non-cash payment facility under exemptions provided by the Australian Securities and Investments Commission (ASIC) Regulatory Guide 185 (RG 185). We do not hold an Australian Financial Services Licence (AFSL) as our services are limited to transactions of $1,000 or less per transaction, with a total facility value not exceeding $10 million. Payments are processed securely via Stripe (AFSL 500105), and we comply with applicable Know Your Customer (KYC), Anti-Money Laundering (AML), and Payment Card Industry Data Security Standard (PCI DSS) requirements.

VeriPay is not a bank, and funds held are not insured or protected like bank deposits. Users assume the risks associated with transactions, including potential delays or disputes. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Payment Terms

Fees

VeriPay charges a fee for using our service. The fee structure is available on our website and may be updated from time to time. All fees are non-refundable unless otherwise specified.

Payment Processing

Payments are processed through our secure payment system powered by Stripe. By using our Service, you agree to comply with all applicable payment terms and conditions, including Stripe’s terms.

Payment Processing and Payouts

VeriPay uses Stripe to make payouts to sellers. The Stripe Recipient Agreement applies to your receipt of such Payouts. To receive payouts from VeriPay, you must provide VeriPay accurate and complete information about you and your business, and you authorise VeriPay to share it and transaction information related to your payout with Stripe.

Sellers: By listing an item or using the Service to receive payments, you consent to VeriPay creating and managing a Stripe Connected Account on your behalf, including submitting, initiating, or performing activities through the Stripe Dashboard or API, as necessary to provide the Service, in accordance with these Terms and the Stripe Connected Account Agreement. We collect and share your bank details, identification information, and transaction data with Stripe for payouts and compliance purposes.

Refunds and Cancellations

If a transaction is cancelled before shipping, the buyer will receive a full refund minus any applicable fees. In the event of non-delivery or a successful dispute, refunds will be issued to the buyer’s original payment method within 7 business days of resolution. Funds are held for a maximum of 90 days or until the transaction is resolved. VeriPay reserves the right to withhold funds in cases of suspected fraud or violation of these Terms.

Privacy and Data Protection

Your privacy is important to us. VeriPay collects, uses, stores, and discloses personal information in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth). We collect data such as your name, contact details, payment information, and transaction history to provide the Service, comply with legal obligations (including KYC/AML), and improve our platform.

We may share your data with third parties like Stripe (for payments) and Australia Post (for tracking), but only as necessary and with appropriate safeguards. You have the right to access, correct, or request deletion of your data. For full details, please review our separate Privacy Policy, which is incorporated into these Terms by reference.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  1. Violating any applicable laws or regulations
  2. Using the Service for illegal transactions or activities
  3. Attempting to circumvent any security features of the Service
  4. Impersonating another person or entity
  5. Providing false or misleading information
  6. Using the Service to conduct transactions for items prohibited by our policies

Intellectual Property

The Service and its original content, features, and functionality are owned by VeriPay and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limitation of Liability

To the maximum extent permitted by law, VeriPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  1. Your use or inability to use the Service
  2. Any unauthorized access to or use of our servers and/or any personal information stored therein
  3. Any interruption or cessation of transmission to or from the Service
  4. Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
  5. Any errors or omissions in transaction processing, including delays in fund releases or tracking inaccuracies
  6. Disputes between buyers and sellers, or third-party actions (e.g., by Stripe or Australia Post)

You acknowledge that VeriPay is not responsible for verifying the authenticity of items or parties involved in transactions, and you assume all risks associated with second-hand marketplace dealings.

Dispute Resolution

Between Users

If a dispute arises between users of the Service (e.g., non-delivery, item not as described), VeriPay will provide a fair and impartial dispute resolution process according to our Dispute Resolution Policy, available at https://www.veripay.com.au/dispute-resolution/. Users must submit claims via support@veripay.com.au or via the app within 14 days of the issue, providing evidence such as photos, tracking information, or correspondence. VeriPay will review the claim within 5 business days and may require additional information. Resolutions are final and binding.

With VeriPay

If you have a dispute with VeriPay, you agree to contact us first and attempt to resolve the dispute informally. If we cannot resolve the dispute informally, you agree to submit the dispute to binding arbitration under the rules of the Australian Centre for International Commercial Arbitration (ACICA) in Sydney. Costs will be shared equally, except for small claims under $1,000, which may be handled in a court of competent jurisdiction.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
